Our client, a leading national law firm, is seeking an Associate to join its transactional Tax Practice, a subgroup of the firm's Tax & Benefits Practice Group. The Associate will advise on sophisticated fund formations, REITs, joint ventures, private equity transactions, and other M&A matters, providing tax guidance on complex business transactions. The position requires three days per week in the office.

RESPONSIBILITIES:

• Advise clients on the tax aspects of fund formations, REITs, joint ventures, private equity transactions, and M&A matters; provide transactional tax analysis and structuring advice in connection with sophisticated business transactions; collaborate with corporate, finance, benefits, and other attorneys on tax-sensitive transactional matters; research and analyze complex federal and transactional tax issues and communicate practical recommendations to deal teams and clients
• Draft and review tax-related provisions, transaction documents, memoranda, and related work product; manage multiple transactional matters while providing timely, accurate, and responsive client service

REQUIREMENTS:

• 3-5 years exp. handling transactional tax matters, with solid experience advising on the tax aspects of fund formation, REITs, joint ventures, private equity, and/or M&A transactions
• STRONGLY PREFERRED: Prior law firm experience is preferred, although significant experience with a large accounting firm will also be considered
• Excellent written and verbal communication, analytical, organizational, and client-service skills; ability to work effectively in a collaborative transactional practice and manage multiple sophisticated matters
• JD from a nationally recognized and accredited law school with excellent academic credentials; an LL.M. in Taxation, current enrollment in an LL.M. in Taxation program, or significant tax coursework at the JD level is preferred
• Georgia bar licensed or eligible to obtain license promptly in the jurisdiction of the hiring office
• Office environment: Must be available to work in the office 3 days/week (2 days hybrid)
