ENERGY AND TRANSACTIONAL TAX | MID LEVEL ASSOCIATE OR COUNSEL (5+ YRS): Our client, an AmLaw100 firm, is seeking a Mid Level Associate through Counsel to join its nationally recognized Tax Practice with a focus on renewable energy transactions and federal tax credit monetization.
This opportunity is ideal for a tax attorney with renewable energy experience looking to work on sophisticated project development, tax credit, and financing transactions. The role offers the opportunity to advise sponsors, investors, lenders, and developers on cutting edge renewable energy projects while working alongside a nationally recognized energy and tax team.
The Associate or Counsel will advise clients on the federal income tax aspects of renewable energy transactions, including the qualification, structuring, and compliance of Investment Tax Credits (ITCs), Production Tax Credits (PTCs), transferable tax credits, and direct pay provisions. Responsibilities include counseling sponsors, investors, and lenders on tax credit monetization strategies, analyzing and applying provisions of the Internal Revenue Code and Treasury Regulations, advising on Sections 45Y, 48E, 45X, and 45Z, drafting and negotiating Build Transfer Agreements, EPC and BOP Agreements, Equipment Supply Agreements, Tax Credit Purchase Agreements, Partnership and LLC Agreements, and Tax Equity Investment Agreements, advising lenders and tax equity investors on state and local tax issues affecting renewable energy projects, and supporting mergers and acquisitions involving energy assets.
REQUIREMENTS: Candidates must possess a J.D. from an accredited law school with strong academic credentials and 5 or more years of tax experience at a law firm. Applicants should have demonstrated experience with renewable energy tax credits, tax credit transfers, project development, tax equity transactions, and complex transactional tax matters. Familiarity with ITCs, PTCs, applicable Internal Revenue Code provisions, and current IRS guidance is required. Candidates should have experience drafting and negotiating sophisticated transaction documents, excellent analytical and technical tax knowledge, strong drafting, negotiation, and communication skills, the ability to manage multiple transactions simultaneously, and be admitted to practice law or eligible for admission in the jurisdiction of the office where they will reside.
