Our client, an AmLaw 200 law firm, is seeking an experienced Senior Corporate Attorney to join its Corporate business unit in Pittsburgh or Atlanta. The attorney will advise clients on a broad range of mergers and acquisitions, corporate governance, commercial agreements, and business transactions, with substantial responsibility for drafting, negotiating, and managing sophisticated transactional documents and interacting directly with clients.

RESPONSIBILITIES:

• Prepare, draft, review, and negotiate M&A agreements, entity formation and governance documents, operating agreements, supply agreements, purchase agreements, and compliance documents; support transactions from initial structuring through negotiation and execution
• Represent and advise corporate clients in business transaction negotiations; manage transactional matters and client communications; collaborate with colleagues to deliver practical, business-oriented legal guidance

REQUIREMENTS:

• 6+ years exp. in corporate and transactional law, including preparation and negotiation of M&A, governance, and commercial agreements
• Strong client-facing negotiation, drafting, interpersonal, and communication skills; detail-oriented with a solid work ethic and ability to thrive in a collaborative team environment
• PREFERRED: Strong business development experience
• JD from a nationally recognized and accredited law school with excellent academic credentials
• Must be bar licensed or prepared to become licensed in the jurisdiction of the hiring office
