Description

Our client, a nationally recognized law firm, is seeking a Commercial Finance Associate to join its Financial Services Transactions Group in Atlanta. The Associate will represent banks, non-bank lenders, and borrowers in sophisticated bilateral and syndicated commercial loan transactions, including asset-based and cash flow credit facilities. This is an excellent opportunity to become a key member of a growing financial services transactions practice with meaningful responsibility for structuring, negotiating, and closing complex financing transactions.

RESPONSIBILITIES:

  • Represent banks, non-bank lenders, and borrowers in bilateral and syndicated commercial loan transactions; handle sophisticated asset-based and cash flow credit facilities
  • Structure, draft, review, and negotiate loan agreements, security agreements, and related financing documents; manage transactions through negotiation, due diligence, closing, and post-closing matters
  • Coordinate and manage due diligence items and key closing workstreams to ensure efficient transaction execution
  • Work collaboratively with clients and deal teams while assuming meaningful responsibility for sophisticated commercial finance matters

REQUIREMENTS:

  • 3–5 years exp. handling sophisticated commercial finance and lending transactions
  • Substantive experience representing banks, non-bank lenders, and/or borrowers in bilateral and syndicated commercial loan transactions; experience with asset-based lending and cash flow facilities
  • Demonstrated experience drafting and negotiating loan agreements, security agreements, and related transaction documents
  • Strong drafting, analytical, organizational, and transaction management skills
  • Self-motivated, hardworking, detail-oriented, and capable of managing multiple transactional matters
  • JD from a nationally recognized and accredited law school with excellent academic credentials
  • Must be bar licensed or prepared to become licensed in the jurisdiction of the hiring office
