CORPORATE – INCENTIVES | OF COUNSEL (8+ YRS): Our client, a leading AmLaw100 firm,  is seeking an Of Counsel to join its corporate practice, supporting domestic and international companies as they expand or relocate within the United States. This role focuses on advising clients across a wide range of industries on the development of new corporate headquarters, manufacturing and distribution facilities, large office projects, and data centers, while driving the identification, structuring, and negotiation of discretionary economic development incentives. The practice is high-volume, fast-paced, and highly integrated across global teams, requiring precision, responsiveness, and the ability to manage complex, multi-stakeholder engagements.

The Of Counsel will take on significant responsibility in strategizing and executing project-specific incentive negotiations, coordinating with internal teams, and managing client relationships. The role demands strong analytical judgment, excellent drafting and communication skills, and the ability to work both independently and collaboratively. Candidates must demonstrate an ability to mentor junior attorneys, maintain attention to detail across numerous active matters, and deliver high-quality work product under tight deadlines in a dynamic corporate environment.

REQUIRED: A Juris Doctor degree from an accredited law school with at least 8 years of experience advising U.S. and international companies on expansions, relocations, and large-scale corporate projects involving new headquarters, manufacturing and distribution centers, data centers, and similar developments; sophisticated experience identifying and negotiating discretionary economic development incentives; strong analytical, writing, and communication skills; sound business judgment; excellent organizational and project management abilities; a proven ability to work independently and as part of a cross-office team; and admission to the bar in the jurisdiction in which the candidate will reside. Prior AmLaw 100 experience is required, along with demonstrated ability to mentor junior attorneys and manage complex workflows.
