PRIVATE EQUITY MERGERS & ACQUISITIONS | MID-LEVEL ASSOCIATE (4+ YRS): Our client, an AmLaw 100 firm, is seeking a mid-level Associate to join its nationally recognized Private Equity Mergers & Acquisitions Practice. The position offers the opportunity to work with a sophisticated, collaborative team advising private equity sponsors, portfolio companies, founders, and investors on complex M&A transactions across a broad range of industries, with a significant focus on health care services and innovative business models.
The Associate will be responsible for managing and executing complex private equity and M&A transactions, including acquisitions, dispositions, joint ventures, and strategic investments. Responsibilities include drafting and negotiating transaction documents, coordinating due diligence, advising clients on deal structure and risk allocation, and working directly with financial sponsors and management teams throughout all phases of transactions. The ideal candidate will have demonstrated experience counseling clients in the health care services sector, including post-acute care, professional practices, digital health, and emerging health care platforms, and will be capable of handling matters independently while collaborating effectively within a national deal team. Familiarity with design thinking, jobs-to-be-done frameworks, disruptive innovation principles, and the integration of generative AI and legal technology into deal processes is a plus.
REQUIRED: Juris Doctor from an accredited law school with 4+ years of Private Equity and M&A experience, preferably at an AmLaw 100 or 200 firm; demonstrated experience advising financial sponsors, portfolio companies, founders, and investors on complex transactions; strong academic credentials; exceptional drafting, analytical, and communication skills; ability to manage transactions independently while working collaboratively in a team environment; health care services transaction experience preferred; active bar admission in the jurisdiction where the candidate intends to practice.
