IN-HOUSE |  SR. CORPORATE COUNSEL, TECH TRANSACTIONS / CORPORATE M&A |  (10+ YRS): Our client, a Fintech company (Private-Equity owned) focused on financial software solutions, is seeking a Sr. Corporate Counsel for its legal, compliance, and transactional functions as the company scales its platform, expands its products and services, and executes strategic transactions. The role will report directly to the CFO with significant exposure to the CEO and Board of Directors. Primary responsibilities include commercial contracting (SaaS and tech contracts), enterprise compliance, overseeing corporate governance, M&A and strategic transactions, international expansion, data privacy, employment matters, and legal risk management. This position will also play a key role in AI governance and the responsible adoption of AI-enabled technologies across the business. This is an opportunity to grow into an Associate General Counsel/VP of Legal role.

REQUIREMENTS: 10+ years of significant in-house experience with a technology or SaaS company. 

• • Demonstrated experience building and managing efficient in-house legal operations and high-volume commercial contracting functions
  • M&A transactions, due diligence, integration, and other strategic transactions in a PE (private equity) backed environment.
  • Experience serving as a primary legal advisor to executive leadership, boards, and PE sponsors
  • Working knowledge of international entity structuring, corporate governance, cross-border compliance, data privacy, multi-state employment law, and AI governance and emerging technology regulations
  • Excellent negotiation, executive communication, leadership, and risk-management skills
  • JD with active Bar admission in good standing in at least one U.S. jurisdiction.
