LEVERAGED FINANCE / PRIVATE CREDIT| SENIOR ASSOCIATE (5-7 YRS): Our client, an AmLaw 100 firm, is seeking a Senior Associate with 5-7 years of sophisticated leveraged finance and private credit experience to join its national Finance & Financial Services practice. This role is based in Atlanta, with the expectation of working in-office at least three days per week. The Senior Associate will represent financial institutions, private credit funds, BDCs, and non-bank lenders in complex, sponsor-backed transactions, including multi-lender and syndicated credit facilities, unitranche and first-out/last-out structures, senior/mezzanine financings, and cross-border lending matters. Candidates must be comfortable managing fast-paced, high-value transactions, interfacing directly with clients and opposing counsel, and taking ownership of deal execution from structuring to closing.

The Senior Associate will handle sponsor-backed acquisition financings across diverse industries, cash-flow and asset-based lending (including senior, senior-stretch, and superpriority revolvers), multi-lender/syndicated facilities, mezzanine and subordinated debt, and preferred equity co-investments. Additional responsibilities include negotiating intercreditor and subordination arrangements, managing liability management transactions such as uptiers, exchange offers, drop-downs, covenant resets, amendments, waivers, and amend-and-extend transactions, as well as refinancings and recapitalizations for sponsor portfolio companies. The position requires strong drafting skills across credit agreements, security documentation, intercreditor arrangements, and commitment papers, along with the judgment, responsiveness, and commercial awareness expected in complex private credit work.

REQUIRED: A Juris Doctor from an ABA-accredited law school; 5-7 years of leveraged finance or private credit experience at a national, New York–style law firm; mastery of unitranche structures, syndications, LMEs, sponsor finance market terms, and complex debt transactions; strong drafting and negotiation skills; the ability to lead workstreams and communicate effectively with clients; bar admission in one or more preferred jurisdictions (FL, NY, MA, IL, GA, NC, TX) or eligibility to obtain admission promptly; and Atlanta residency at or before the time of hire with an in-office presence of at least three days per week.
