Our client, a global AmLaw 100 firm, is seeking an experienced Corporate Attorney to join its Emerging Growth & Venture Capital Group. The Attorney will primarily represent emerging growth companies and institutional investors, advising on sophisticated Venture Capital (VC) financings, M&A transactions, and Corporate Governance matters.
NOTE: This is a NON-PARTNERSHIP TRACK ROLE. This is a FULLY REMOTE position associated with any of the firm’s U.S. office locations and offers the opportunity to work with a sophisticated national corporate practice.
RESPONSIBILITIES:
- Represent emerging growth companies and institutional investors in VC and other corporate transactions; negotiate and manage preferred stock financings, bridge financings, and SAFE financings; advise clients on VC transactions, M&A matters, and day-to-day corporate governance issues; manage and coordinate due diligence for M&A transactions and venture financings
- Draft, review, and negotiate corporate and financing documentation using standard emerging growth and VC forms, including NVCA, Series Seed, and Y Combinator forms
- Analyze complex corporate and transactional issues and provide timely, practical, and well-reasoned legal advice; manage multiple sophisticated matters and deadlines while maintaining high-quality and responsive client service
- Mentor and supervise junior attorneys and staff; collaborate effectively with partners/attorneys across the firm
- Build strong client relationships, anticipate client needs, and take meaningful ownership of matters
REQUIREMENTS:
- 5–8 years exp. handling Emerging Growth and VC matters; experience representing emerging companies and/or investors in VC financings, M&A transactions, and corporate governance matters
- Demonstrated experience negotiating and managing preferred stock, bridge, and SAFE financings; familiarity with standard venture capital documentation, including NVCA, Series Seed, and Y Combinator forms; experience managing due diligence for M&A transactions and venture financings
- STRONGLY PREFERRED: Direct and applicable AmLaw 100 law firm experience
- Excellent drafting, analytical, strategic thinking, project management, communication, and client-service skills; ability to manage competing priorities and sophisticated matters in a fast-paced, collaborative environment
- JD from a nationally recognized and accredited law school with excellent academic credentials
- Must be bar licensed or prepared to become licensed in the jurisdiction of the hiring office
