Description
Our client, a leading international law firm, is seeking a Junior to Mid-Level Technology Transactions Associate with 2–4 years of experience to join its Dallas or Atlanta office. The Associate will advise on sophisticated corporate and commercial matters involving technology and intellectual property, with a strong emphasis on drafting and analyzing complex technology agreements and advising on IP and technology issues arising in M&A, carve-outs, spin-offs, and private equity transactions.
RESPONSIBILITIES:
- Draft, review, analyze, and negotiate sophisticated SaaS and cloud-based agreements, software license agreements, professional and master services agreements, outsourcing agreements, supply agreements, distribution and reseller agreements, manufacturing agreements, and other complex technology-based commercial transactions
- Advise on IP and technology issues arising in M&A, carve-out, spin-off, and private equity transactions; conduct diligence involving chain of title, inbound and outbound licenses, open-source software, artificial intelligence, and U.S. data processing matters; assist with drafting and reviewing relevant transaction documents
REQUIREMENTS:
- 2–4 years exp. handling corporate and commercial matters involving technology and intellectual property, with significant experience drafting, analyzing, and negotiating complex technology agreements
- Experience evaluating and advising on IP and technology matters in general corporate transactions, including M&A, carve-outs, spin-offs, and private equity transactions
- Strong experience with technology and IP due diligence, including issues involving chain of title, licensing, open-source software, artificial intelligence, and U.S. data processing
- Excellent drafting, analytical, organizational, communication, and client-service skills
- JD from a nationally recognized and accredited law school with excellent academic credentials
- Must be bar licensed or prepared to become licensed in the jurisdiction of the hiring office
