Our client, a leading national and international law firm, is seeking a Corporate M&A and Private Equity Associate with 2-5 years of experience focused on M&A and private equity transactions. The position offers the opportunity to work on sophisticated middle-market transactions for private equity sponsors and portfolio companies throughout the investment lifecycle, while joining a collegial corporate practice with meaningful opportunities for professional growth and advancement.
RESPONSIBILITIES:
- Represent private equity sponsors, portfolio companies, and other corporate clients in sophisticated M&A and private equity transactions
- Draft, review, and negotiate acquisition agreements and the full suite of ancillary documentation used in M&A and private equity transactions
- Advise clients throughout the private equity investment lifecycle, including initial platform acquisitions, add-on acquisitions, portfolio company governance, and exits
- Assist with and manage middle-market transactions and related deal execution, while coordinating effectively with internal teams, clients, and other transaction participants
- Develop and maintain strong internal and external client relationships while demonstrating sound business judgment and commercial awareness
REQUIREMENTS:
- 2-5 years exp. handling sophisticated M&A and private equity transactions
- Strong working knowledge of acquisition agreements and M&A/private equity transaction documentation, with demonstrated drafting and negotiation experience
- Experience representing private equity sponsors and portfolio companies throughout the investment lifecycle is strongly preferred
- Familiarity with middle-market deal structures is strongly preferred
- Large national or international law firm experience is preferred
- Strong interpersonal, communication, client-management, and business judgment skills
- JD from an ABA-accredited law school with excellent academic credentials
- Must be licensed or prepared to become licensed in the jurisdiction of the hiring office
- Candidate must reside in the applicable jurisdiction by the time of hire and be able to work in the office at least three business days per week
