STRUCTURED FINANCEĀ | JUNIOR TO MID-LEVEL ASSOCIATE (2+ YRS): Our client, an AmLaw 100 firm, is seeking an Associate to join its Finance Group, specifically within its Structured Finance subgroup, with a focus on transactions involving commercial mortgage-backed securities (CMBS). This position is open to all U.S. offices and offers a hybrid work arrangement.
This opportunity offers the ability to work on sophisticated structured finance transactions involving complex commercial real estate and securitized lending structures. The role is ideal for attorneys looking to deepen their experience in CMBS, structured finance, and securities-related transactions within a leading global finance practice.
The Associate will assist with and manage structured finance transactions from inception through closing, including transaction structuring, due diligence, drafting and negotiating financing and securitization documents, and coordinating closings. Responsibilities include conducting legal research and analysis, drafting transaction documents and correspondence, supporting negotiations, advising clients on transaction risks and legal considerations, and collaborating with attorneys and business professionals to deliver efficient and strategic legal solutions. The role also involves maintaining strong client relationships and supporting sophisticated financing strategies in a fast-paced practice.
REQUIREMENTS: Candidates must hold a J.D. from an accredited law school and be admitted to practice in the state where they are based. Applicants should have at least 2 years of law firm experience with strong legal research, writing, analytical, and communication skills. Experience in commercial real estate finance, CMBS, structured finance, or securities offerings is preferred, though not required. Candidates should demonstrate strong organizational skills, sound business judgment, attention to detail, the ability to manage multiple deadlines, and the ability to work both independently and collaboratively. Prior Am Law 100 experience is valued but not required.
