TECHNOLOGY TRANSACTIONS & SOURCING | MID-LEVEL ASSOCIATE (3-5 YRS): Our client, the Am50 law firm, is seeking a mid-level Associate to join its industry-leading Technology Transactions & Sourcing (TTS) practice, with a preference for Atlanta. This role offers the opportunity to work on sophisticated, cutting-edge technology and commercial transactions for Fortune 500 and global clients across a wide range of industries.

The Associate will structure, negotiate, and manage complex commercial agreements involving technology, intellectual property, and outsourcing arrangements. Responsibilities include drafting and negotiating software licensing and cloud services agreements; software, data, and IP development agreements; reseller, distribution, and e-commerce agreements; and AI/ML development and licensing deals. The role also involves advising on outsourcing transactions (IT and business process), digital infrastructure deals (including data centers and telecom), and content licensing arrangements. Additionally, the Associate will support M&A and private equity transactions by conducting IP and technology due diligence and advising on related risks.

REQUIRED: Juris Doctor from an accredited law school; 3–5 years of experience in technology transactions or complex commercial contracting; experience drafting and negotiating agreements involving software, cloud services, IP, or outsourcing; strong academic credentials; excellent analytical, writing, and project management skills; and current law firm experience. Experience with AI/ML, digital assets, payments systems, semiconductor technology, or life sciences is a plus.
