CORPORATE – CAPITAL MARKETS | JUNIOR TO MID-LEVEL ASSOCIATE (2-4 YRS): Our client, a national firm, is seeking a junior to mid-level associate with 2-4 years of securities and transactional experience to join its national Corporate Practice Group.
This role supports a sophisticated practice advising public companies, issuers, and underwriters on a full range of securities and capital markets matters. The Associate will prepare Exchange Act filings—including Forms 10-K, 10-Q, 8-K, and proxy statements—manage disclosure obligations, and counsel clients on corporate governance and compliance with SEC and stock exchange rules. The position also involves representing issuers and underwriters in equity and debt offerings, along with opportunities to contribute to general corporate and transactional matters.
The Associate will draft and review securities filings, manage deal processes, provide regulatory and compliance guidance, and work closely with partners and clients across industries. Candidates must be highly organized, detail-oriented, and capable of navigating complex regulatory frameworks with precision. Strong analytical skills, excellent writing ability, and the capability to manage multiple workstreams in a fast-paced environment are essential. This position offers remote and hybrid flexibility.
REQUIRED: A JD from an ABA-accredited law school; 2- 4 years of experience in securities and capital markets, including Exchange Act reporting, securities offerings, and public company counseling; strong drafting, analytical, and communication skills; the ability to manage complex compliance and disclosure matters; and bar admission or prompt eligibility for admission in the jurisdiction of the resident office location.
