CORPORATE – M&A - FINANCIAL SERVICES | MID-LEVEL ASSOCIATE (4-6 YRS): Our client, an AmLaw 100 firm, is seeking a mid-level associate to join its Business Group. This role offers the opportunity to work in a robust and sophisticated corporate practice focused on mergers and acquisitions and general corporate transactions. The Associate will work closely with a highly regarded team that combines extensive corporate experience with deep regulatory knowledge to represent clients in the insurance and financial services industries.
In this role, the Associate will handle a wide range of M&A transactions, including performing and overseeing due diligence, managing specialists, drafting and negotiating transaction documents, and coordinating closings and post-closing matters. The position also involves advising clients on general corporate law matters, including choice of entity, entity formation, governance, and related transactional work such as joint ventures and commercial contracts. The Associate must be able to manage a fast-paced workload, anticipate issues, and contribute meaningfully within a collaborative team environment.
REQUIRED: A Juris Doctor from a nationally recognized and accredited law school with 4-6 years of experience handling a wide variety of mergers and acquisitions transactions; demonstrated experience performing and overseeing due diligence, managing specialists, drafting and negotiating transaction documents, and coordinating closings and post-closing matters; solid working knowledge of general corporate law, including entity formation and governance; experience with other corporate or transactional matters such as joint ventures and commercial contracts; strong academic credentials; AmLaw 100 firm experience strongly preferred; exceptional project management skills; effective and persuasive written and oral communication skills, with law review or comparable experience indicating significant research and writing ability preferred; the ability to manage competing priorities in a fast-paced environment while anticipating issues; strong interpersonal skills and professional commitment to succeed in a collaborative team setting; and admission to practice in Georgia, eligibility to waive into the Georgia Bar, or willingness to sit for the Georgia Bar Exam.
