EMERGING COMPANIES & VENTURE CAPITAL | MID-LEVEL ASSOCIATE (3-5 YRS): Our client, an AmLaw 100 firm, is seeking a mid-level Corporate Associate to join its Emerging Companies & Venture Capital practice. This role offers the opportunity to work with innovative startups, growth-stage companies, and venture capital investors on a wide range of high-impact transactional matters.
The Associate will advise emerging companies and venture capital investors throughout the full business lifecycle, from formation through exit. Responsibilities include drafting and negotiating venture financing documents such as term sheets, convertible notes, and NVCA financing documents; advising on corporate governance matters, including board and shareholder issues; supporting mergers and acquisitions, joint ventures, and other strategic transactions; conducting due diligence; and assisting with transactional closings. The role also involves serving as outside corporate counsel to both early-stage and late-stage private companies while managing client relationships and collaborating with internal and external stakeholders.

REQUIRED: Juris Doctor from an ABA-accredited law school; 3–5 years of experience in corporate, emerging companies, or venture capital matters; experience drafting and negotiating venture financing documents (including NVCA forms); experience advising on corporate governance and transactional matters; strong academic credentials; excellent research, writing, and communication skills; and admission to or eligibility for admission to the Georgia Bar. Candidates must reside in or relocate to the Atlanta area and be available for in-office work at least three days per week.
