LITIGATION - M&A| OF COUNSEL (8+ YRS): Our client, an AmLaw 100 firm, is seeking an Of Counsel attorney to join its Litigation Group, specifically within the Business and Commercial Litigation subgroup. This position offers a hybrid work arrangement.
This opportunity is ideal for a senior litigator with deep experience in post-closing M&A disputes and complex deal-related litigation. The role focuses on high-stakes disputes arising from mergers and acquisitions, particularly matters involving post-closing indemnity claims and representations and warranties insurance (RWI) disputes. The position offers significant responsibility managing sophisticated commercial litigation matters involving complex transaction documents, financial analyses, and damages issues.
The Of Counsel will advise clients and lead litigation strategy in disputes involving M&A transactions. Responsibilities include collaborating with damages and industry experts, overseeing fact development, preparing and defending depositions, supervising associates, reviewing and drafting discovery responses, briefs, motions, and legal memoranda, and developing case strategy through all phases of litigation. The role requires strong judgment, excellent client management, and the ability to independently handle complex disputes while effectively leading teams.
REQUIREMENTS: Candidates must be admitted to practice in the jurisdiction where they intend to work and have a minimum of 8 years of experience handling M&A post-closing indemnity disputes and/or representations and warranty insurance disputes. Applicants should also have substantial experience reviewing and interpreting M&A transaction documents and performing or analyzing damages calculations related to deal disputes. Strong research, analytical, writing, communication, and project management skills are essential, along with the ability to manage multiple complex matters in a fast-paced environment with minimal supervision.
