LITIGATION – M&A |SENIOR ATTORNEY (6+ YRS): Our client, an AmLaw 100 firm,  is seeking a Senior Attorney to join its Litigation Group, specifically within the Business and Commercial subgroup. This position is a hybrid work model.

This opportunity is designed for a seasoned litigation attorney with deep experience in M&A-related disputes, particularly post-closing deal litigation. The role focuses on sophisticated disputes arising from mergers and acquisitions, including post-closing indemnity claims and representations and warranties insurance (RWI) disputes, often involving complex transaction documents and financial damages analyses.

The Senior Attorney will play a key role in managing complex litigation matters from strategy through resolution. Responsibilities include advising clients on dispute risk and litigation strategy, assisting with fact development and depositions, collaborating with experts on damages and valuation issues, and drafting and reviewing discovery responses, briefs, motions, and legal memoranda. The attorney will also analyze transaction documents, evaluate indemnification provisions and risk allocation mechanisms, and help develop case strategy in high-stakes commercial disputes. Strong matter management and the ability to work independently while coordinating with broader litigation teams are essential.

REQUIREMENTS: Candidates must be admitted to practice in the jurisdiction where they intend to work. Applicants should have a minimum of 6 years of experience handling M&A post-closing indemnity disputes and/or representations and warranty insurance disputes. Significant experience reviewing and interpreting M&A transaction documentation and analyzing damages calculations is required. Candidates should also possess superior research, analytical, and writing skills, strong communication abilities, excellent attention to detail, and strong project management capabilities.
