CORPORATE – REPRESENTATIONS & WARRANTIES INSURANCE / INDEMNIFICATION | OF COUNSEL ( 6-8 YRS): Our client, an AmLaw 100 firm, is seeking an Of Counsel to join its corporate practice with a focus on insurance and indemnification issues across a wide range of transactional matters. 

The Of Counsel will support a high-volume transactional risk practice, advising on representations and warranties, insurance policies and indemnification structures in connection with complex corporate transactions. Candidates must bring 6–8 years of experience in the transactional risk insurance space, ideally including prior brokerage or underwriting experience.

The attorney will advise deal teams and clients on RWI coverage, exclusions, underwriting issues, policy negotiation, indemnity mechanics, and risk allocation. This role requires exceptional analytical skills, excellent writing and verbal communication, strong business judgment, and a meticulous approach to detail. The Of Counsel must be comfortable handling significant responsibility, managing workflows independently and collaboratively across multiple offices, and supporting partners and transactional teams in a fast-paced, multijurisdictional environment.

REQUIRED: A JD from an accredited law school; at least 6 years of experience in transactional risk insurance, including familiarity with representations & warranties insurance policies and indemnification structures; strong analytical, writing, and communication skills; the ability to manage complex projects independently while collaborating seamlessly across teams; attention to detail and sound business judgment; and an active bar admission in the jurisdiction of the applied office.
