Our client, a leading national law firm, is seeking a mid- to senior-level transactional associate to join its Corporate & Securities Practice Group and firmwide Public Company Advisors Team. The Associate will work collaboratively with a dynamic multi-office team representing large Nasdaq- and NYSE-listed public companies across a broad range of securities, corporate governance, capital markets, disclosure, regulatory, and transactional matters. Preferred locations include New York, Boston, and the Washington, DC metropolitan area, with additional office options in North Carolina, South Carolina, Houston, Nashville, Atlanta, and Baltimore.

RESPONSIBILITIES:

• Represent large Nasdaq- and NYSE-listed public company clients across securities law, disclosure, governance, and transactional matters
• Advise on Securities Act of 1933 equity and debt offerings and related capital markets matters; counsel public companies on Securities Exchange Act of 1934 reporting and compliance; prepare and advise on proxy statements, Forms 8-K, 10-K, and 10-Q, and Section 16 reporting
• Advise clients on corporate governance, public company disclosure, and regulatory matters
• Collaborate with attorneys across offices as part of the firm's Public Company Advisors Team

REQUIREMENTS:

• 4+ years exp. in corporate and securities matters at a large regional or national law firm
• Experience with Securities Act of 1933 equity and debt offerings; Securities Exchange Act of 1934 matters, including proxy statements, periodic reporting on Forms 8-K, 10-K, and 10-Q, and Section 16 reporting; excellent analytical abilities, and written/oral communication skills
• Preferred: Prior experience with the U.S. Securities and Exchange Commission (SEC) is a significant plus
• JD from a nationally recognized and accredited law school with excellent academic credentials
• Georgia bar licensed or eligible to obtain license promptly in the jurisdiction of the hiring office
