CORPORATE - TECHNOLOGY TRANSACTIONS | MID-LEVEL ASSOCIATE (4-5 YRS): Our client, an AmLaw 200 firm, is seeking a Mid-Level Associate to join its Technology Transactions group. This role focuses on corporate and commercial matters involving technology and intellectual property, including licensing, trade secret protection, privacy matters, artificial intelligence counseling, and drafting and negotiating development, manufacturing, supply, distribution, and service agreements.

The position includes significant involvement in evaluating and advising on intellectual property and technology issues arising in broader corporate transactions such as mergers and acquisitions, carve-outs, spin-offs, and private equity matters. Responsibilities include conducting diligence related to chain of title, inbound and outbound licensing arrangements, open-source software considerations, artificial intelligence issues, and U.S. data processing matters, as well as assisting with drafting and reviewing relevant transaction documentation.

REQUIRED: Juris Doctor from an accredited law school; 4–5 years of relevant experience in technology transactions, IP licensing, or corporate technology matters; experience advising on IP and technology issues in M&A, private equity, or other corporate transactions; strong drafting, analytical, and negotiation skills; familiarity with AI counseling, data privacy, or technology commercialization preferred; and active membership in the Georgia Bar.
