CORPORATE SECURITIES | MID TO SENIOR LEVEL ASSOCIATE (3+ YRS): Our client, an AmLaw 100 firm, is seeking a mid to senior level associate to join its Corporate group. This position offers the opportunity to work within an AmLaw 100 firm advising public and private companies on sophisticated securities and corporate transactions.
The Associate will support a broad range of corporate securities matters, including advising public and private companies on securities transactions, SEC reporting obligations, and corporate governance matters. Responsibilities include preparing and reviewing SEC filings, assisting with public and private securities offerings, and advising clients on compliance with the Securities Act of 1933 and Securities Exchange Act of 1934. The role may also involve supporting mergers and acquisitions and other strategic corporate transactions. The ideal candidate will demonstrate strong analytical, drafting, and communication skills and the ability to manage complex matters in a collaborative transactional practice.
REQUIRED: Juris Doctor from an accredited law school; at least 3 years of experience at a midsize or large law firm handling public and private company securities transactions and ’34 Act reporting requirements; familiarity with the Securities Act of 1933 and Securities Exchange Act of 1934; strong academic credentials; excellent writing, analytical, and communication skills; and active bar admission in good standing in a state where Nelson Mullins maintains an East Coast office.
