Description

ADMIN | GENERAL COUNSEL’S OFFICE | CLIENT CONTRACTS ATTORNEY (3+ YRS): Our client, an AmLaw 50 firm,  is seeking a Client Contracts Attorney to join its Conflicts & Business Review Department within the Firm’s General Counsel’s Office. This role offers the opportunity to work closely with firm leadership, partners, and clients on the review and negotiation of complex client engagement terms and contractual obligations in a collaborative, fast-paced environment.

The Attorney will review and analyze outside counsel guidelines, client-drafted engagement terms, non-disclosure agreements (NDAs), Business Associate Agreements (BAAs), Requests for Proposal (RFP) terms, third-party engagement agreements, and other non-standard client contracts. Responsibilities include drafting revisions and exceptions to contractual terms, advising firm attorneys regarding compliance obligations and risk considerations, negotiating directly with clients when appropriate, managing version control and redline comparisons, and overseeing due diligence requests related to client onboarding and contractual compliance.

Additional responsibilities include preparing internal summaries of approved client guidelines, coordinating the posting and filing of approved agreements, and collaborating closely with the Associate Director of Client Contracts and broader Conflicts & Business Review team. The role also involves working with legal technology and document comparison tools and supporting operational efficiencies within the department.

This is an excellent opportunity for an attorney seeking sophisticated contract review and negotiation work within a leading global law firm while maintaining flexibility through a remote work structure.

REQUIRED: Juris Doctor from an accredited law school; minimum of 3 years of contract review and negotiation experience; active law license in the jurisdiction where the candidate is located; strong attention to detail and communication skills; ability to manage competing priorities in a fast-paced environment; proficiency with Microsoft Office and document comparison tools such as Litera Compare; and sound judgment in handling confidential and risk-sensitive matters. Knowledge of privacy and data protection laws is preferred. Experience with generative AI tools such as Copilot or Harvey is a plus.

TO APPLY: Please submit a cover letter, resume, and law school transcript for consideration.
