CORPORATE (SECURITIES)| MID-LEVEL ASSOCIATE (3-5 YRS): Our client, an AmLaw 100 firm, is seeking a mid-level Corporate Associate to join its securities practice within the firm’s corporate group. This role offers the opportunity to work within an Am Law 100 platform, advising clients on sophisticated capital markets and securities matters while gaining exposure to a broad range of corporate transactions.
The Associate will handle a variety of securities and capital markets matters, including preparing and reviewing SEC filings, advising on compliance with federal securities laws, and supporting public and private offerings. Responsibilities also include assisting with corporate governance matters and collaborating on mergers and acquisitions and investment fund transactions. The role requires strong drafting, analytical, and organizational skills, as well as the ability to manage multiple matters and work directly with clients and cross-functional teams.

REQUIRED: Juris Doctor from an accredited law school; 3–5 years of capital markets and securities experience in a law firm setting; experience with SEC reporting and compliance under the ’33 and ’34 Acts; experience with M&A, real estate funds, or REITs is a plus; strong academic credentials; excellent writing, analytical, and communication skills; and admission to practice in good standing in a state where Nelson Mullins has an East Coast office.
