CORPORATE | MID-LEVEL ASSOCIATE (4–6 YRS): Our client, a national firm, is seeking a mid-level Associate to join its Corporate Department. This opportunity offers the flexibility to handle sophisticated middle-market mergers and acquisitions and venture capital transactions for a diverse national client base. The role provides meaningful client contact, substantial responsibility, and exposure to complex deal structures within a collaborative transactional practice.

The Associate will advise clients on a broad range of corporate and transactional matters, with a primary focus on middle-market mergers and acquisitions involving transactions valued between approximately $25 million and $500 million, as well as venture capital financings. Responsibilities include drafting and negotiating stock and asset purchase agreements, preparing and reviewing transaction documents, conducting legal due diligence, structuring acquisitions and divestitures, advising clients throughout all phases of the transaction lifecycle, and assisting with venture capital investments and financings. The role also involves collaborating with clients and internal teams to develop practical, business-oriented solutions and managing sophisticated transactions from inception through closing.

Candidates should be comfortable handling routine transactional matters independently while working directly with clients on more complex deals. The ideal candidate will possess strong drafting, negotiation, and analytical skills, along with a working knowledge of corporate and partnership taxation concepts. Experience with National Venture Capital Association (NVCA) model documents, middle-market M&A transactions, and direct client counseling is highly desirable. Prior large law firm experience is preferred.

REQUIRED: J.D. from an accredited law school; active bar admission in the jurisdiction of intended practice; 4–6 years of corporate and transactional experience; strong academic credentials; exceptional drafting, negotiation, analytical, and communication skills; experience with middle-market mergers and acquisitions and venture capital transactions; proficiency drafting stock and asset purchase agreements; familiarity with NVCA financing documents; and a working knowledge of corporate and partnership taxation concepts. Prior large law firm experience is preferred.
