CORPORATE | MID-LEVEL ASSOCIATE (3–6 YRS): Our client, a national firm, is seeking a Mid-Level Corporate Associate. This opportunity offers the chance to advise emerging growth companies, venture capital funds, and private equity investors on sophisticated corporate transactions while working closely with founders, executives, boards of directors, and investment professionals.
The Associate will represent companies and investors in a broad range of corporate matters, including venture capital financings, growth equity investments, private equity transactions, and mergers and acquisitions. Responsibilities include advising start-ups and emerging growth companies throughout financing rounds and strategic transactions, representing venture funds and investors in equity financings, supporting buy-side and sell-side M&A matters, drafting and negotiating transaction documents, managing due diligence processes, and assisting clients through all stages of complex corporate transactions.
Candidates should be comfortable taking an active role in client relationships and interacting directly with CEOs, boards of directors, and general partners of investment funds. The ideal candidate will have experience handling sophisticated venture capital, growth equity, private equity, and M&A transactions, along with strong drafting, negotiation, analytical, and communication skills. A collaborative, entrepreneurial mindset and the ability to manage multiple complex matters are essential.

REQUIRED: J.D. from an accredited law school; active bar admission in good standing; 3–6 years of corporate transactional experience; strong academic credentials; exceptional drafting, analytical, writing, and communication skills; and experience representing emerging growth companies, venture capital funds, and investors in venture financings, growth equity transactions, private equity matters, and mergers and acquisitions. Experience with both buy-side and sell-side M&A transactions is preferred.
